Terms of Service

The agreement between your company and Capstan when you use the product.

Last updated

The short version

  • Your data stays yours. We use it only to run your agents, never to train models.
  • You decide what each agent may do. Capstan enforces those limits, and you stay responsible for what you allow.
  • Plans are billed per builder, with runs included. You can cancel any time and keep access until the period ends.
  • If you leave, you can export everything for 30 days. Then we delete it.

This summary helps you read the document; the full text below is what applies.

These terms are an agreement between the company or organisation you represent ("you") and Capstan Labs, Inc., a Delaware company ("Capstan", "we"). If your company is in the European Union or the United Kingdom, the agreement is with Capstan Labs AB in Stockholm, Sweden, instead. By creating a workspace or using Capstan, you accept these terms on your company's behalf.

1. The service

Capstan lets your team build AI agents that do work across your tools: you describe a job, connect the tools it needs, test it on past cases and run it with approval steps. "The service" means the Capstan app, the API, the SDKs, the CLI and the MCP server.

We may change the service as we improve it. If we remove a feature you pay for, we'll tell you at least 30 days before, and you can end your plan and get a refund for the unused part.

2. Your workspace and accounts

  • Each person signs in with their own account. Keep sign-in details private and turn on two-factor authentication or single sign-on where you can.
  • Admins in your workspace decide who can build agents, who can approve steps and who can only view runs.
  • You're responsible for what happens in your workspace, including what the people you invite do there.

Tell us at security@capstan.example straight away if you think an account has been compromised.

3. Agents and what they do

Agents act in your tools on your behalf, with the access you give them. That's the point of Capstan, and it's why the limits matter.

  • You set the limits. For each agent you choose its tools, the actions it may take, which steps wait for a person, and its budget. Capstan enforces those limits outside the model, on every step.
  • You stay responsible for what you allow. If an agent is allowed to send refunds under $50 without approval, it may send them. Review an agent's access and run a replay before giving it more.
  • Test before you trust. Replays run an agent on past cases with every write held back. We strongly recommend one before any agent touches customers or money.
  • Model output can be wrong. Agents can misread a case or draft a poor answer. Approval steps exist for that reason.

4. Acceptable use

Don't use Capstan to:

  • break the law, or anyone's rights, including privacy and intellectual property;
  • send spam or messages people didn't ask for, or impersonate anyone;
  • make decisions with legal or similarly significant effects on people (such as credit, hiring or housing) without a person reviewing each one;
  • process health records covered by HIPAA, or card numbers outside a payment provider's own fields;
  • probe, overload or get around the service's security or limits, except under our disclosure policy.

We may suspend an agent or a workspace that breaks these rules. Where we can, we'll tell you first and give you time to fix it.

5. Your data

Your data stays yours. That includes your agents' instructions, the content they read and write, run traces and anything you upload.

  • We use your data only to provide the service to you, as set out in our Data Processing Agreement.
  • We never use it to train AI models, and neither do the model providers we use. They process prompts under zero-retention terms.
  • We keep data for the periods on our security page, and you can choose to keep runs in the US or the EU on the Business and Enterprise plans.

You give us permission to host, copy and process your data only as needed to run the service, keep it secure and support you.

6. Plans, trials and billing

  • Plans are priced per builder per month, with a number of runs included for the whole workspace. Approvers and viewers are free. Current prices are on the pricing page.
  • Trials of Team and Business last 14 days with no card. If you don't add one, the workspace moves to Free and keeps its agents.
  • Extra runs beyond your plan are billed in packs, and we'll warn admins at 80% and 100% of the included runs.
  • Billing is monthly or yearly in advance. Prices exclude taxes, which we add where the law requires.
  • Cancelling stops the next renewal. You keep access until the end of the period you paid for. We don't refund partial periods, except where these terms or the law say so.

We may change prices with at least 30 days' notice. A change takes effect at your next renewal.

7. Availability and support

We aim for 99.9% monthly uptime for the app and API, and we publish incidents on our status page. Enterprise plans include a service level agreement with credits. Support is by email on every plan, with faster replies on paid plans.

8. Third-party tools

Agents work in tools made by others: Stripe, Zendesk, HubSpot and many more. Your use of those tools is covered by their own terms. Capstan connects to them with the access you grant and isn't responsible for how those tools behave or change.

9. Confidentiality

Each of us will keep the other's confidential information private, use it only for this agreement, and protect it at least as carefully as our own. This doesn't cover information that's public, already known, or that the law requires us to share.

10. Warranties and liability

We'll provide the service with reasonable skill and care, and as described in our documentation. Beyond that, the service is provided as is.

Neither of us is liable to the other for indirect or consequential losses, such as lost profits. Each side's total liability under this agreement is limited to the amount you paid Capstan in the 12 months before the claim. These limits don't apply to breaches of confidentiality, your payment obligations, or anything the law doesn't allow us to limit.

11. Ending the agreement

You can close your workspace at any time from its settings. We can end the agreement with 30 days' notice, or straight away if the other side seriously breaks it and doesn't fix it within 30 days of being told.

When the agreement ends, you can export your agents, runs and settings for 30 days. After that we delete your data, including backups, within a further 35 days, and can send you a certificate saying so.

12. Changes and general terms

We may update these terms. If a change matters, we'll email workspace admins at least 30 days before it applies. The date at the top always shows the latest version.

These terms are governed by the laws of Delaware, or of Sweden for customers in the EU and UK. If any part turns out to be unenforceable, the rest still applies. Questions: legal@capstan.example.
